1. Acceptance of Terms

By accessing or using our website, contacting us through any form, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the website or services.

2. Services offered

Orisons is a full-service marketing agency. We provide strategy, brand, creative, performance marketing, content, and technology services to businesses. The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate written proposal or statement of work ("SOW") signed between Orisons and the client.

3. Use of the website

You agree to use orisons.in only for lawful purposes. You may not:

• Use the website in any way that causes, or may cause, damage to the website or impairs its availability or accessibility
• Use the website in any way that is unlawful, fraudulent, or harmful
• Attempt to gain unauthorised access to the website, its servers, or any data contained on it
• Use automated tools to scrape, harvest, or copy content without our written permission
• Upload or transmit any viruses, malware, or other malicious code

4. Intellectual property

4.1 Our content

All content on orisons.in — including text, logos, graphics, images, video, audio, design, and code — is owned by or licensed to Orisons and is protected by Indian and international copyright, trademark, and other intellectual property laws. You may view and share content for personal, non-commercial purposes only.

4.2 Client work

Intellectual property ownership of deliverables produced during a client engagement is governed by the applicable SOW. Unless explicitly stated otherwise, final deliverables transfer to the client upon full payment; Orisons retains the right to showcase the work in its portfolio and case studies with reasonable permission.

5. Fees and payment

Fees for services are as specified in the applicable SOW. Unless otherwise agreed in writing:

• Invoices are due within 15 days of the invoice date
• Fees are exclusive of applicable GST and other taxes, which will be added at prevailing rates
• Late payments may attract interest at the rate of 1.5% per month or the highest rate permitted by law, whichever is lower
• Orisons reserves the right to suspend or terminate services for accounts more than 30 days overdue

6. Client responsibilities

For any engagement, you agree to:

• Provide accurate, complete, and timely information and approvals needed for us to perform the services
• Obtain any necessary third-party licenses, permissions, or approvals for content you supply to us
• Review deliverables and provide feedback within agreed timelines
• Pay invoices as they fall due

7. Warranties and disclaimers

We perform our services with reasonable skill and care. However, the website and services are provided "as is" and we do not guarantee specific business outcomes, revenue, or performance metrics — marketing effectiveness depends on many factors outside our control, including product quality, market conditions, and client execution.

To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of liability

To the fullest extent permitted by law, in no event will Orisons or its directors, employees, or affiliates be liable to you for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill.

Our total aggregate liability to you for any claim arising out of or related to these Terms or any service engagement shall not exceed the total fees paid by you to Orisons under the relevant SOW in the three (3) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold Orisons harmless from any claims, losses, liabilities, damages, or expenses (including reasonable legal fees) arising out of (a) your breach of these Terms, (b) your violation of any law or third-party right, or (c) any content or materials you provide to us.

10. Confidentiality

Both parties agree to keep confidential information received during an engagement confidential and to use it only for the purposes of the engagement. This obligation survives termination of any SOW for a period of three (3) years.

11. Termination

Either party may terminate a service engagement in accordance with the termination provisions of the relevant SOW. On termination, the client shall pay for all services rendered up to the date of termination.

12. Governing law and jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Noida / Gautam Buddh Nagar, Uttar Pradesh.

13. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new "Effective date". Continued use of the website after changes constitutes acceptance of the updated Terms.
